Terms of Service

Welcome to ProServe Hub. These Terms of Service ("Terms") govern your use of the ProServe Hub mobile application and website (the "Service") operated by ProServe Hub ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you represent that you meet these requirements.

2. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. User Types

Customers

Customers use the Service to request home improvement services including interior painting, exterior painting, cabinet refinishing, drywall repair, and pressure washing. Customers can browse contractor profiles, request quotes, and hire contractors through the platform.

Contractors

Contractors use the Service to receive job leads, manage their business, communicate with clients, and receive payments. Contractors are independent businesses and are not employees, agents, or representatives of ProServe Hub.

4. Services and Marketplace

ProServe Hub is a platform that connects customers with independent contractors. We do not perform any home improvement services ourselves. We are not responsible for the quality, safety, legality, or timeliness of work performed by contractors.

• Contractors are solely responsible for the services they provide, including licensing, insurance, and compliance with local regulations.
• Customers are responsible for providing accurate job details and property access.
• ProServe Hub does not guarantee the availability of contractors in any area.

5. Payments and Escrow

Payment processing is provided by Stripe. By using payment features, you also agree to Stripe's Terms of Service.

• Escrow: Customer payments may be held in escrow until job milestones are met. Funds are released to contractors upon job completion confirmation.
• Fees: ProServe Hub may charge service fees or commissions on transactions. Current fee structures are displayed before payment confirmation.
• Refunds: Refund eligibility depends on the specific circumstances of each transaction. Disputes should be reported to us within 7 days of the transaction.
• Taxes: Contractors are responsible for reporting and paying all applicable taxes on income received through the platform.

6. Subscriptions

Certain premium features require a paid subscription (e.g., PRO or Enterprise tiers). Subscriptions are managed through in-app purchases on Google Play or the Apple App Store.

• Subscriptions auto-renew unless cancelled before the renewal date.
• You can manage or cancel subscriptions through your device's app store settings.
• Refunds for subscriptions are subject to the respective app store's refund policy.
• We reserve the right to change subscription pricing with reasonable notice.

7. AI-Powered Features

The Service includes AI-powered features such as automated estimates, job summaries, client updates, and quality inspections. These features are provided as tools to assist users and:

• AI-generated estimates are approximate and should not be considered binding quotes.
• AI suggestions are for informational purposes and do not replace professional judgment.
• We do not guarantee the accuracy of AI-generated content.

8. User Content

You retain ownership of content you upload (photos, messages, reviews, portfolio items). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Service.

• You must not upload content that is illegal, offensive, defamatory, or infringes on others' rights.
• We may remove content that violates these Terms without notice.
• Reviews and ratings must be honest and based on genuine experiences.

9. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose
• Impersonate another person or entity
• Harass, threaten, or abuse other users
• Post false, misleading, or fraudulent information
• Circumvent the platform to avoid fees (e.g., taking transactions off-platform)
• Scrape, crawl, or use automated tools to extract data from the Service
• Attempt to gain unauthorized access to other users' accounts or our systems
• Interfere with the proper functioning of the Service
• Use the Service to send spam or unsolicited communications

10. Intellectual Property

The ProServe Hub name, logo, and all related branding, software, and content are owned by ProServe Hub and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our intellectual property without written permission.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSERVE HUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless ProServe Hub and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through informal negotiation. If unresolved after 30 days, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You agree to waive any right to a jury trial or to participate in a class action.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service ceases immediately
• Pending escrow transactions will be resolved according to our escrow policies
• You may request deletion of your personal data per our Privacy Policy

16. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated through the app or via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
